Simple Guide to Forming a Company:
Firstly, you need to decide on the following:
Your Company Name:
What are you going to be called? The name of the company must be something that no other company is using. In order to protect your company name the Companies Registration Office (CRO) won’t allow you to incorporate a company with a name, deemed similar to an existing company.
The main activity of the company:
This will be outlined in a document called the Memorandum and Articles of Association once the company is incorporated. If you give us a general idea of the main activities, we will draw up what is called an Objects Clause for the Memorandum & Articles of Association.
Where you will be located:
Here you need to decide on three addresses. You need to decide where your registered office will be, where your business will be trading from and where your central administration will be carried out. The Registered Office and Trading addresses must be in Ireland. All of these addresses can be the same if you wish.
Your Directors and Secretary:
Your company must have at least two directors – one of which may also act as secretary. The directors are responsible for the day to day running of the company and they may or may not be shareholders.
Your Shareholders:
Your shareholders may or may not be directors also. They are the people who own the business. When your company is being incorporated, each shareholder is allotted a certain number of shares. The shares will determine what percentage of the company each shareholder owns.
Incorporation Process:
At the moment the incorporation process takes approximately 5-10 working days, once we receive all completed forms and documentation. Within the 10 days you will receive your company pack which consists of the following:
- Certificate of Incorporation
- Copies of the Memorandum and Articles of Association (x4)
- Minutes and Registrations
- Stock Transfers (2)
- Share Certificates (4)
- Company Seal
- Combined Register and Minute Book
